The Easy Pay Platform - Microsite (“Website”) has been developed and is supplied by Stratagile Sdn Bhd, Unit 3.07, Level 3, KL Gateway, No 2, Jalan Kerinchi, Pantai Dalam, 59200 Kuala Lumpur (“Stratagile” or “We”) on behalf of Merck Sharp & Dohme (Malaysia) Sdn Bhd, The Ascent Paradigm, 1, Jalan SS7/26A, Ss 3, 47301 Petaling Jaya, Selangor (hereafter, together with its affiliates, referred to as “Merck Sharp & Dohme”).

Please read and review the following Terms and Conditions (these “Terms and Conditions”) carefully before registering, accessing and or using the Website. These Terms and Conditions apply to all users of, and visitors to the Website (“you”). Use of the Website includes without limitation accessing, browsing, or registering to use the Website.

Your access to and use of the Website is subject to these Terms and Conditions and to the Website Privacy Policy and Cookies Policy which cover how Stratagile and or its agents and providers process your personal information through this Website.

In addition, your access to and use of the Website is subject to all applicable laws, regulations, marketing authorizations, Product information and codes of practice / codes of conduct.

By registering to and or accessing to the Website: - you confirm that you have read, understood and agree to these Terms and Conditions without reservation; - you agree that you will comply with all procedures, including obtaining approvals and/or disclose this invitation as required under the policies of your employer, professional codes of conduct applicable to you and applicable law and that Stratagile may disclose publicly and/or to any authorities this invitation; and - you confirm that your registration and or access to the Website fully complies with all applicable laws, regulations, marketing authorization, product information and codes of practice / codes of conduct, including without limitation applicable anti-bribery / anti-corruption laws and regulations.

2. Purpose of this Website
The purpose of this Website is to provide you, as a patient, the option of paying for prescribe medicines and vaccines through the Buy Now Pay Later program.

This Website is limited to healthcare professionals and patients. By registering and or accessing the Website, you undertake, warrant and agree that you are a healthcare professional registered to practice in your country.

The invitation to register and access the Website is not transferable to any other person.

Stratagile or its affiliates or partners will not take charge of any expenses that you may incur in registering to and or accessing the Website.

You agree that your registration to the Website and or access to the Website has/have not and will not influence, and is not intended to influence, any decision you may make, or action you might take, regarding current or future business with, or on behalf of, Stratagile. In addition, neither Stratagile nor you have the authority to act for the other or the responsibility for any obligation or expense of the other.

3. Registration to the Website
Your access and use of the Website are subject to your registration to the Website.
You must create only one account. This account is personal. You shall not share your password or login credentials, give access to your account to others, or transfer your account to anyone else (without Stratagile written permission). By accessing and using the Website, you shall ensure that (a) any and all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information.

4. Nature of information
As the case may be, the Website may include expert opinions concerning a particular area in relation with the content of the Material. Such information represents only the opinions of the respective experts, which opinions are not necessarily those of Stratagile. Such experts are not employees of Stratagile. Stratagile has engaged such experts for the performance of services. Stratagile is not responsible for the accuracy or completeness of any information or opinions set forth in the Materials. Expert advice reflects only the personal view of that expert, and in no case shall it be regarded as the opinion or responsibility of Stratagile.

6. Information You Supply
Except for information covered by the Website Privacy Policy, any communication or material you transmit to the Website (as the case may be), including any data, questions, comments, suggestions or the like is, and will be treated as, non-confidential and non-proprietary.

7. Consequences
If Stratagile becomes aware that you have violated any of the Terms and Conditions contained herein, Stratagile may immediately take corrective action, including preventing you from using the Website, at any moment and without notice. If Stratagile has been affected or injured by your violation it may, in its sole discretion, seek to recover damages from you.

8. Revisions of the Terms and Conditions
Stratagile may at any time revise these Terms and Conditions by updating this posting and notifying the users of the Website by sufficient means (such as an email or a pop-up window in the Website, by which you will be asked to give your consent to the amended version). If you disagree with the new Terms and Conditions, you should indicate so through the mechanism provided by the relevant email or pop-up, and subsequently stop accessing and using the Website. You should periodically visit this page to review the current Terms and Conditions to which you are bound.

9. Availability of the Website

Stratagile reserves the right to discontinue this Website at any time without liability to you or anyone else. You will receive prior notice of such a discontinuation.

You acknowledge that (i) it is technically impossible that the Website will be provided free of defaults and that Stratagile cannot take any responsibility for this, (ii) that defaults may lead to the temporary unavailability of the Website or any of the Materials, and that (iii) the operation of the Website may be adversely affected by conditions and performances outside Stratagile’s control, such as, for example, transmission and telecommunication links between the Website and you and between the Website and other systems and networks.

Stratagile is not liable for any modification to or suspension or interruption of the Website.

10. Intellectual Property
The information and materials presented, displayed or provided on the Website (the “Materials”) is owned or licensed by Stratagile and or its affiliates. The Materials and each of the elements, including without limitation trademarks and logos appearing on the Materials (as the case may be) are protected by intellectual property laws and (i) are held by Stratagile or its affiliates or (ii) are held by third parties and are subject to an authorization of use granted to Stratagile by their owners.

No part of the Materials may be copied, reproduced, modified, republished, uploaded, distorted, transmitted, used or distributed in any manner or in any medium, in part or in whole, without the prior written consent of Stratagile. Stratagile consent, as the case may be, would be limited to copying for private usage for your personal, private and non-commercial use, on your personal computer.

Elements composing or contained in the Materials authorized for use may not be distorted, modified or altered in any way.

Stratagile neither warrants nor represents that your use of Materials will not infringe rights of third parties. With the exception of the foregoing limited authorization (as the case may be), no license to or right in the information, or any copyright of Stratagile or of any other party is granted or conferred to you.

Stratagile or its affiliates reserve the right to take legal action against any counterfeit of its intellectual property rights.

This Website may contain or reference proprietary information, technologies, products, processes or other proprietary rights of Stratagile and/or other parties. No license to or right in any such trademarks, patents, trade secrets, technologies, products, processes and other proprietary rights of Stratagile and/or other parties is granted to or conferred upon you.

11. Adverse Events and Product Complaints
You undertake to inform Stratagile of any report of an Adverse Event or Product Complaint using the reporting process specified by Stratagile. Such reports will be submitted to the relevant Stratagile contact mentioned below within 24 hours of the collection of the data.

You shall report to Stratagile any observable Suspected Adverse Event/Product Complaint or Report of Pregnancy that occurs or is detected by your personnel or agents with regard to an Merck Sharp & Dohme medicinal product.

An “Adverse Event” (or “AE”) is any unfavourable or unintended sign, symptom or disease associated with the administration of an Merck Sharp & Dohme drug product, regardless of whether the reporter thinks that the drug might have caused the event. AEs may include but are not limited to: clinical signs, symptoms or diagnosis; Abnormal test results (e.g., blood tests, X-ray, ECG); drug interactions; drug overdose; drug abuse or misuse of the product; drug dependency or possible effects resulting from drug withdrawal; lack of efficacy (product does not work as expected) or loss of intended effect; medication errors; transmission of infectious agents; occupational exposure to drug; a worsening of a pre-existing condition; drug exposure via parent; unexpected benefits; off-label use.

A “Product Complaint” is any communication regarding the failure or defect in the drug product and/or its components (either real or perceived), to meet any of its specifications or standards of quality, purity, safety, identity, performance, potency. Examples of product complaints include, but are not limited to: a crack in a glass vial; the vial contents looked cloudy; no package insert in the carton; a cap was missing; no vacuum in vial when inserting needle; the needle was dull; or the syringe plunger was stuck.

Adverse Event and Product Complaints Reports shall be sent to Stratagile Global Patient Safety Adverse Event at adverse.events@Stratagile.com, or to Stratagile Singapore Patient safety at: Pharmacovigilance.sg@Stratagile.com.

12. Information on Products
The information contained on the Material may contain direct or indirect references to products of Merck Sharp & Dohme which are not proposed or available in certain countries or regions, or which may be offered under a different trademark, and which may be subject to different regulations and conditions of use according to the country. Such references do not imply any intention on the part of Stratagile to sell these products in your country. Please consult the local Merck Sharp & Dohme affiliate or Merck Sharp & Dohme local commercial partner for any information concerning the products which are available in your region / country.

13. Severability
The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision, which shall remain in full force and effect, except where the invalidity or unenforceability relates to an essential term of these Terms and Conditions.

14. Governing laws and dispute resolution
These Terms and Conditions and your use of the Website shall be governed by the laws of Malaysia, except for the provisions of international private law.

Disputes that cannot be resolved amicably, will be submitted to the courts and tribunals of Malaysia.
